1 Introduction

This is a legal agreement (the “Agreement”) between you and Maverick Enterprise (“ME”) stating the terms and conditions under which you may access and use any website or webpage operated by ME (collectively, the “Site”). By accessing or using the Site in any way you agree to and are bound by this Agreement.

ME reserves the right to change this Agreement at any time without prior notice to you. In such an event, your continued use of the Site constitutes your acceptance of any and all changes to the Agreement. The most current version of the Agreement can be readily reviewed by clicking on the “Terms and Conditions” hypertext link located throughout the site. The present version of this Agreement supersedes all previous versions and takes effect from the date and time as listed at the bottom of the document.

2 Prohibited Activities

You agree not to modify, copy, distribute, transmit, display, perform, reproduce, publish, transfer, license, sell, reverse engineer, create derivative works based on, or use for any commercial purpose any of the information, documents, files, text and graphics contained in the Site (the “Content”), or the selection and arrangement of the Content. You agree not to use any data mining, robots, or similar data gathering and extraction methods in connection with the Site. You agree not to use or access this Site for any purpose that is unlawful, or in any manner which could cause it to be disabled, damaged, overloaded, or impaired or interfere with any other person’s use and enjoyment of this Site. You agree not to attempt to gain unauthorized access to any Restricted Feature by hacking, password “mining”, misrepresenting your identity, or any other illegitimate means.

3 Proprietary Rights

The Site, the Content, and the selection and arrangement of the Content are protected by copyright, trademark, patent, and/or other intellectual property laws. All proprietary rights are expressly reserved.

4 Links to Third Party Websites

The Site may contain links to websites controlled by third parties. These links are provided solely as a convenience to you and not as an endorsement by ME of the third party websites or the contents of such third party websites.

5 Disclaimer of Warranties

The Site and the Content are provided “as is”, and you acknowledge that your use of the Site is entirely at your own risk. ME disclaims any and all warranties or conditions, express, statutory and implied, with respect to the Site or the Content or any third party sites linked to the Site, including without limitation warranties as to merchantability, title, operation, non-infringement, usefulness, completeness, accuracy, reliability and fitness for a particular purpose. Further, ME does not represent or warrant that the Site will be available and meet your requirements, that access will be uninterrupted, that there will be no delays, failures, errors or omissions or loss of transmitted information, that no viruses or other contaminating or destructive properties will be transmitted or that no damage will occur to your computer system.

6 Limitation of Liability

In no event shall ME, its officers, directors, employees, affiliates, agents, service providers or suppliers (each, an “ME Party” and collectively, the “ME Parties”), be liable for any damages, including without limitation any indirect, consequential, special, incidental, or punitive damages arising out of, based on, or resulting from your use of or inability to use the Site or the Content or any third party websites linked to the Site, even if such ME Party has been advised or ought to have known of the possibility of such damages, and without regard to whether the damages arise from breach of contract, breach of warranty, negligence, or any other cause of action. If you are dissatisfied with the Site, the Content, or any part of this Agreement, your sole and exclusive remedy is to discontinue using the Site. If any portion of this limitation is found to be invalid or unenforceable for any reason, then in no event shall any ME Party be liable for damages in excess of 1.00EUR (one Euro). The disclaimers and limitations contained in this Agreement apply to the maximum extent permitted by applicable law, and are not intended to deprive you of any mandatory protections provided to you under applicable law.

7 Termination or Suspension

ME may terminate this Agreement, or terminate or suspend your access to the Site at any time, with or without cause, with or without notice. Upon such termination or suspension, your right to use the Site will immediately cease and any information you have stored on the Site may not be retrieved later.

8 Governing Law

Our aim is to settle any disputes amicably in the framework of these general terms and conditions. The Site is administered by ME from its offices in Belgium. The Site will be governed by and construed in accordance with the laws of Belgium, without giving effect to any principles of conflicts of laws. All disputes, controversies or claims arising out of or in connection with the Site shall be submitted to and be subject to the jurisdiction of the Antwerp court of Belgium. You submit to the exclusive jurisdiction of the courts of Antwerp in Belgium to finally adjudicate or determine any suit, action or proceeding arising out of or in connection with the Site. The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

9 General Terms

Any consent by ME to, or waiver of, a breach of this Agreement that you have committed, whether express or implied, shall not constitute a consent to, or waiver of, any other, different or subsequent breach. In the event that any provision of this Agreement is determined to be unenforceable or invalid by a court of competent jurisdiction, such determination shall not affect the validity and enforceability of any other remaining provisions.

Except for any written agreements with ME that expressly reference this Agreement, this is the entire Agreement between you and ME relating to the matters contained herein, and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and ME with respect to the Site. ME may assign this Agreement, in whole or in part, at any time with or without notice to you. You may not assign or transfer this Agreement or any right or obligation hereunder.

10 Terms of Sale on Goods, Events & ADR/Consultancy Services

ME’s Terms of Sale are made a part of this Agreement by reference hereto, and are set out below.

Unless otherwise explicitly stated with the product on its relevant ME web page, the prices quoted in the ME shop are in Euros (EUR) excluding carriage, packing and order processing costs. They are subject to change without notice.

Catalogue prices of electronic publications are given for one single user on one single personal computer and one single tablet.

10.1 Terms of Sale on Goods

10.1.1 VAT and custom fees

The prices of ME products do not include duties and taxes.

The purchaser is responsible for all duties, taxes and custom fees.

10.1.2 Method of payment

Payment is due at the time of ordering. Payments can be made:

  1. by Credit card: Eurocard/MasterCard, Visa. Online credit card payment is processed by PayPal – PYPL (NASDAQ)
  2. by Bank transfer:
  • This requires prior arrangement via contacting ME at info@maverick-enterprise.com
  • Payments should be made in Euros (EUR)
  • The order/invoice number must be specified in the bank transfer form to avoid delays in the order processing.
  • Bank transfer fees must be solely borne by the client.
  • ME reserves the right not to accept or dispatch the order until full payment has been received. Please note that a bank transfer may take 2 to 4 business days to be effective.

10.1.3 Order

You may order on-line on this site. The different stages of logging your order are validated successively, with final validation at the end of the process. The user can decide to abort the order at any stage of this process.

ME reserves the right to cancel or refuse any order from a customer with whom there is a dispute concerning payment of a previous order.

For products published in partnership with other publishers, you must send your inquiries and orders directly to those contacts.

10.1.4   Availability

Our offers of products and prices are valid for as long as they appear on the site. We will supply goods ordered depending on the availability of stocks. Details of the availability of a product are given at the time of ordering.

Should a product or title be unavailable, you are invited to submit your e-mail address so that we can send you an electronic message advising you that the product is newly available following a rerun or re-publication.

Should a product or title become unavailable following your order, we will inform you by e-mail or letter as soon as possible.

If you have paid by bank transfer and all or part of your order proves unavailable, your money will be reimbursed as soon as possible by crediting your bank account.

10.1.5 Delivery

Delivery is made to the address given when you order. Delivery times are approximate and represent average delivery times.

If your order is placed after 15.00 pm (UTC Time) it will only be processed the following day.

If your order was placed before, over or during a public holiday, it will be processed the next working day.

If your order was placed over the weekend, it will be processed the next working day.

ME may not be held responsible for any consequences of a delay in delivery, particularly in the event of a force majeure, computer breakdowns, and disruption or strikes affecting postal services, transport or communications.

10.1.6   Returns

Any return of an article for exchange within three days of receipt of the goods ordered (indicating the references of the invoice concerned) shall be subject to penalty if the goods are damaged. The costs of the return are to be borne by the customer, unless the return is due to an error on our part. Goods must be returned directly to our Customer Service department. Beyond that three-day period, the delivered goods will be deemed as complying with your order and accepted by you.

In the event of a return following a delivery error on our part or a fault with one of our products, the article(s) may be replaced or reimbursed once received by our Customer Service department, depending on your wishes and product availability.

10.1.7 Quality Control

In order to improve the quality of our documents we encourage purchasers and users of our documents to send their feedback for the attention of ME’s Customer Service department to info@maverick-enterprise.com

10.2 Terms of Sale on Events

You may register on-line though this site for Seminars, Workshops, Trainings, Lectures, Keynotes, Speeches (the “Events”). The different stages of logging your order are validated successively, with final validation at the end of the process. The customer can decide to abort the registration at any stage of this process.

Registrations will be confirmed only when the full amount is paid in advance.

10.2.1   Availability

Our offers of events are valid for as long as they appear on the site.

Should an event be fully booked, you are invited to submit your e-mail address so that we can keep your name on a waiting list and send you an electronic message advising that a place has become available.

The organizers will acknowledge the registrations by e-mail. Registrations will be handled on a first come-first served basis.

While every effort will be made to keep to the published program, the organizers reserve the right to change times and venues.

10.2.2   Changes to the event

It may be necessary for reasons beyond the control of ME to change the contents and/or the timing of the event, the speakers, the date or the venue. In the unlikely event of the event being cancelled by the organizer, ME will automatically make a full refund. The organizers cannot be held liable for any pre-booked travel or accommodation costs.

10.2.3   Cancellation policy

Refunds (less 10% cancellation charge to cover administration costs) will be made for cancellations received in writing by the organisers no later than 14 days before the seminar. After this date, it is regretted that refunds of fees or cancellations of invoices will not be made. Substitutions can be made at any time.

ME reserves the right to cancel the event if it is under subscribed or for any other reason. In the event of cancellation delegates will be given two weeks notice and the fee will be refunded in full. The organisers and/or ME cannot be held liable for any pre booked travel or accommodation costs.

10.2.4 Transfers & substitutions

Transfers can be made free of charge up to 7 days before the event or course.  No transfers can be accepted 6 days or less before the event or course. Substitutions may be made at any time.

10.2.5 Accommodation & travel

Delegate travel and overnight accommodation are not included in the posted event fee. Participants are responsible for making their own travel and hotel arrangements.

10.2.6 Visas

ME recommends you check your visa requirements with your local embassy or consulate. Visa invitation letters to support visa applications can only be sent out once we have received your registration form and full payment of the registration fees. Please apply in good time.

10.2.7 Included in the fee

The fee includes tuition plus the cost of all lunches, refreshments, tuition and written documentation as posted for the event. The fee does not include transport, visas or overnight accommodation.

10.2.8 Method of payment

10.2.9 ME flyers

ME issued flyers and other promotional brochures issued specifically for specific events, carrying their own terms and conditions take precedence on the above items if and only when they are specific on the referred items of the terms and conditions.

10.3   Terms of Sale on ADR and Consultancy Services

For ADR and Consultancy Services a specific Agreement will be drawn up between the parties that will take full precedence on the above Terms and Conditions. Please contact ME for further details.

11 Privacy

ME’s Privacy Statement is made a part of this Agreement by reference, and can be viewed in detail by clicking on the ” Privacy Policy” hypertext link located throughout the site.

In case of ambiguity, contradiction and the like, the English version of the above text prevails.
